As a user ("Merchant," "you," "your"), please review these Terms carefully before engaging with our services. By accessing and using the Services, you confirm your agreement to be legally bound by these Terms, thereby forming a contractual relationship between you and Chimepe Fintech. If you do not agree with these Terms, you are not authorized to access or use the Services.
By agreeing to these Terms, you confirm the following:
To identify your account with Chimepe Fintech, your mobile number, Permanent Account Number (PAN), and email will be used ("Account"). For protection, you are advised to set a robust password and Personal Identification Number (PIN). Sharing your password, PIN, or any confidential information is strictly prohibited. Neither Chimepe Fintech nor its Service Providers will ever request your Account password, PIN, OTP, or any other confidential information under any circumstances.
If you suspect any compromise in the security of your Account, it is recommended to immediately change your Account password and PIN. Should securing your Account become challenging or if you believe it may be compromised, promptly notify Chimepe Fintech.
User accounts on Chimepe Fintech are identified by email and cellphone numbers, which serve as access points to Chimepe Fintech services. It is advised to choose a robust password to safeguard your account. Users should not share their passwords, and Chimepe Fintech will never request such sensitive information. If you suspect your account has been compromised, it is recommended to change your password immediately.
Chimepe Fintech provides a range of services, including listing services, logistics, payment services, and access to educational platforms. However, Chimepe Fintech does not endorse or support the goods and services listed on the Merchant Dashboard. If you wish to link to Chimepe Fintech on other platforms, prior approval is required, and any unauthorized link must be removed promptly.
Payments on the Platform are facilitated through a partnership with Payment Partner, and these transactions are governed by the Payment Partner's Terms. Transaction amounts collected by the Payment Partner will be paid out according to these terms. Any inquiries or concerns about the Payment Aggregation Services should be directed to info@chimepefintech.com.
Access to features may depend on the subscribed plan, with varying capabilities and fees. Subscription fees may be charged on a recurring basis for auto-renewal plans. Modifications to comply with Applicable Laws may impact Service access, and Chimepe Fintech is not liable for such changes.
Third-Party Services within Chimepe Fintech may be owned or provided by third parties and are subject to their terms and conditions. Chimepe Fintech disclaims responsibility for the accuracy and warranties of these Third-Party Services. Users utilizing Third-Party Services are bound by their terms and conditions, and all intellectual property rights belong to the respective third parties.
Chimepe Fintech will charge applicable fees for the provision of its services, as determined by Chimepe Fintech in terms of manner, rates, and frequency. Chimepe Fintech reserves the right to update these fees at its sole discretion. Fees are exclusive of applicable taxes, which will be added periodically. You agree that any changes in applicable taxes during the term of these Terms are your responsibility.
Monthly invoices for service fees will be generated and accessible on your dashboard. Any disputes regarding an invoice must be communicated within a few days from the invoice date. Chimepe Fintech will make good faith efforts to reconcile any reasonably disputed amounts. You are responsible for the daily reconciliation of all processed transactions. In case of discrepancies, you must report them to Chimepe Fintech within three (3) working days. If reconciliation issues are raised after this period, Chimepe Fintech will not be liable for any unresolved queries.
The User acknowledges and agrees that Chimepe Fintech may send transactional or non-transactional business communications via SMS, email, or push notifications to fulfill the User’s request or service their account. Even after opting out of marketing communications, the User may continue to receive transactional and critical communications from Chimepe Fintech. Chimepe Fintech will exert its best efforts to provide notifications, and it will be considered that the User has received the information sent by the Company during the use of the Chimepe Fintech platform or while availing of any services. Chimepe Fintech is not obligated to confirm the authenticity of the person(s) receiving the alert, and the User cannot hold the Company liable for the non-availability of any notification service in any manner whatsoever.

Any failure or delay by Chimepe Fintech to enforce any term or right under these Terms does not constitute a waiver of that term or right. The exercise of any right does not waive other rights, and any waiver must be in writing and signed by an official representative of Chimepe Fintech.
Chimepe Fintech and its affiliates are not responsible for any damages, losses, or claims, whether direct or indirect, arising from various causes. The website may contain links to third-party sites, and users understand that Chimepe Fintech disclaims responsibility for the content, products, or services on such sites.
In our commitment to providing optimal services, all data collected is handled in strict adherence to our Privacy Policy. This includes information related to the Merchant Dashboard, your Account, usage of Chimepe Fintech Services, and electronic communications with Customers, including grievance-related discussions. Secure backups of this data will be stored, and you authorize us to share these backups with the Payment Partner as needed for Payment Aggregation Services and with relevant Authorities.
To enhance the efficiency of the Platform, we may use information and data related to your Services usage for analytics, trend identification, and statistical purposes. This allows us to continually improve the effectiveness of the Services. With your explicit consent, the Platform tracks, organizes, and analyzes your Orders and Platform usage to offer various ancillary services. Your consent includes the sharing of Order and Transaction information with our affiliates. Additionally, you authorize us to use your Order or Transaction details to identify and procure appropriate ancillary services, with a potential facilitation fee charged for such services.
By using the Platform and Services, you agree to indemnify Chimepe Fintech, its parent company, affiliates, officers, associates, successors, assigns, licensors, employees, directors, agents, and representatives from any direct or indirect losses, actions, damages, penalties, costs, and expenses, claims, demands, lawsuits, or judicial proceedings. This includes any mistakes, misrepresentations, negligence, fraud, forgery, dishonesty, or violations attributable to you, your personnel, agents, or representatives, or any third party using your Account, accessing the Platform, or using the Services in violation of these Terms. It also covers instances of breaking a rule or standard practice in your field and any claims made by an authority or a third party due to your actions or inactions, such as breaking these rules or engaging in activities outside the scope of these rules.
We reserve the right to modify these Terms and Conditions and the Platform at any time. It is your responsibility to review these Terms and any Additional Terms each time you access the Platform or use the Services. Your continued use of the Platform and Services will be subject to these Terms and any Additional Terms, as amended from time to time. If you disagree with any changes, you should discontinue using the Platform and/or the Services.
We also reserve the right, for business and operational reasons, to limit access to our Platform. While we aim to notify you in writing of any such suspension or withdrawal as soon as possible, interruptions may occur.
If a court or other authority finds that any of these Terms is illegal or unenforceable, the remaining terms will remain in effect. If a part of a rule that is illegal or unenforceable can be made legal or enforceable by removing it, that part will be removed, but the rest of the rule will still be in effect.
In the event of a force majeure, Chimepe Fintech shall be excused from fulfilling its obligations during the occurrence of such events. This non-performance shall not be considered a breach of contract, nor shall it incur any liability.
These Terms of Use are governed by the laws of India. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of India.
Chimepe Fintech reserves the right to modify these Terms and Conditions at any time. Users will be notified of any changes via email alerts. If users continue to use the services after the effective date of the changes, their acceptance of the revised Terms and Conditions will be assumed.
